Open Course Terms and Conditions

These Open Course Training Terms and Conditions of Use (hereinafter referred to as the "Terms and Conditions") establish the rules and regulations that must be followed by users ("Users") and the companies to which they belong ("Customers" or "Participants") when utilizing these services provided by Reskill Co., Ltd. (hereinafter referred to as "Reskill")

1. Important Information Regarding Open Course Registration

Cancellation of Open Courses

- Reskill reserves the right to cancel an Open Course if the minimum number of participants is not met or other reasonable grounds exist. In such cases, Reskill will notify the affected participants.
- If the Participation Fee has already been paid, Reskill will refund the full amount.
- The final decision on whether or not to proceed with an Open Course will be made one week before the scheduled start date.

Refusal of Participation

- Reskill may refuse participation in Open Courses to individuals from the same industry, based on credit checks, or due to concerns related to Reskill's policy on dealing with antisocial forces.
- Reskill is not obligated to disclose the reasons for refusing participation.

2. Open Course Payment

Invoice Issuance

- Invoices are sent on the 1st of the month following the training date by default.
- However, the issue date can be changed in advance upon request.

Payment Deadline

- Participants can also issue the invoice on their own in advance.
- Payment is due by the end of the month following the month in which the training is conducted.

Payment Method

- Payment must be made by bank transfer. Please bear the bank transfer fee.

3. Training Day Changes

- We do not accept training date changes after registration. If you need to change the training date you have applied for, please cancel your existing registration and re-register for your desired date.
- Please note that cancellation fees may apply in accordance with our cancellation policy. Thank you for your understanding.

4. Cancellation Policy

Cancellation Fees

- 22 days or more before the training date: No cancellation fee.
- Within 21 days before the training date: 30% of the training fee.
- Within 14 days before the training date: 60% of the training fee.
- Within 7 days or less before the training date: Full training fee.
- In the case of extra training date request: Full training fee regardless of the number of days from the training date.

Cancellation Deadline

- All cancellations must be received by 6:00 PM on the day of cancellation.

Training Materials

- Training materials will not be provided to participants who cancel their registration, regardless of whether or not a cancellation fee is incurred.

5. On-site Guidelines

- Please refrain from attending the training session late or leaving early.
- Registration will open 30 minutes before the start of the training session. Please be sure to arrive by 5 minutes before the start time.
- You may be asked to leave the training session if you engage in disruptive behavior towards other participants or the instructor, or if you violate any of the prohibited actions. In such cases, a refund of the participation fee will not be possible.

6. Prohibited Actions

The following prohibited actions apply to both in-person and online training sessions.

- Any act that may disrupt the operation of the training session.
- Any act related to criminal activity or that violates public order and good morals.
- Any act that infringes on the intellectual property rights, portrait rights, privacy rights, honor, or other rights or interests of our company or a third party.
- Any act of soliciting or associating with a religious, political organization, multi-level marketing business, or the like for our company or a third party.
- Any act of transmitting information containing computer viruses or other harmful computer programs.
- Any act of recording or downloading online training.
- Any act of copying, reproducing, reprinting, quoting, distributing (including uploading to a server connected to the network), editing, adapting, modifying, tampering with, translating, disclosing to a third party, etc., in connection with this service, either directly or through a third party.
- Any act of creating training that is identical or similar to this service by oneself or a third party.
- Any other act that we deem inappropriate.

7. Non-Compete Agreement

Prohibition on Direct Employment of Instructors

- For a period of two years following the completion of the training, it's prohibited to directly employ or engage the services of the instructor assigned by Reskill for training purposes without going through Reskill.

Prior Notification and Contractual Obligations

- As a conflict prevention measure, if the Customer intends to directly employ or engage the services of the instructor after the completion of the training service, Reskill must be notified in advance. Upon entering into the designated contract, the Client's company will be required to pay Reskill a fee equivalent to three times the total amount related to this service.

8. Disclaimer for Online Training

No Guarantee of Suitability or Functionality

- We do not guarantee that the online training will meet your specific needs or that it will be free from errors or glitches.
- We will not be liable for any damages you may suffer as a result of interruptions, suspensions, terminations, unavailability, or changes to the online training, or the deletion or loss of posted information or other data, the cancellation of your user registration, or any other problems related to the online training.

User Responsibility and Third-Party Interactions

- Participants are solely responsible for their words, actions, activities, posts, statements, and transmissions in connection with the online training.
- Reskill will not be liable for any transactions, communications, or disputes that arise between Participants and third parties in connection with the online training.

9. Damages and Disclaimer

Liability for Damages

- Reskill will only be liable for damages if the Participant can objectively prove with evidence that Reskill has caused them damage due to willful misconduct or gross negligence in connection with the provision of this service.
- Even if Reskill is found liable for such damages, the scope of liability will be limited to direct and typical damages, with the maximum compensation amount set at the tuition fee for the relevant training course.
- Reskill's liability for damages will be limited to one year after the completion of the relevant training course.

Non-Liability

Reskill will not be liable for any damages arising from the following circumstances:

- Damages arising from the fact that all or a part of this service is in violation of laws, customs, etc. in a country or region other than Japan.
- Damages arising from the fact that there is an error in the information Participant have applied for registration or registered themself, or that they have not registered the information that should be registered.
- Damages caused to Participants by the change or deletion of data related to this service due to computer virus damage or other obstacles that cannot be prevented by the measures that Reskill should normally take.
- Damages caused to Participants by the occurrence of obstacles that cannot be prevented by the measures that Reskill should normally take.
- In the case of using a system such as a subsidy, Reskill will cooperate in creating documents, as a provider of this service, but not take any responsibility for the results of receiving various subsidies.

10. Force Majeure

- Reskill will not be liable for any suspension or delay of this service caused by events beyond Reskill's reasonable control, such as war, riots, strikes, fires, natural disasters, or other such events.

11. Modification of These Terms and Conditions

- Reskill reserves the right to modify these Terms and Conditions at its discretion without obtaining individual consent from you under the following conditions:
- The modification of these Terms and Conditions aligns with their intended purpose, and the necessity, reasonableness of the content after modification, and other related circumstances justify the change.
1. The modification of these Terms and Conditions serves the best interests of the general public.
2. Reskill will notify Participants of the revised content and effective date of these Terms and Conditions in accordance with established procedures. This version maintains the clarity and intent of your original text while enhancing readability.
